Terms
Terms and engagement letter
Plain-English terms for booking a Flipfiled service. By checking the box when you book, you accept them.
Last updated: October 27, 2026. These terms form your agreement with Flipfiled LLC, doing business as Flipfiled ("Flipfiled," "I," "we"). By booking or paying, you ("Client") accept them.
1. What Flipfiled does
In short: Administrative business-setup and filing support for small resellers and retailers in Chicago: preparing and submitting state and city registrations and applications (LLC, EIN, Illinois sales tax, assumed name, Chicago business licenses) from information the client provides, plus educational guides. No legal, tax or accounting advice, no tax return preparation, and no handling of client funds. Flipfiled provides administrative and educational help to Chicago resellers and small retailers who are starting or organizing a business. Depending on the package you book, that can include: preparing and submitting an Illinois LLC filing, helping you get an EIN, helping you register for an Illinois sales tax account, helping you complete the CRT-61 resale certificate, preparing an assumed name (DBA) filing, and helping you prepare City of Chicago license applications and the related account in Chicago Business Direct. The specific services are those on the package page you booked.
2. What Flipfiled does not do
- Flipfiled is not a law firm, CPA firm, tax preparer or insurance agency. Nothing I say or send is legal, tax, accounting or insurance advice, and no attorney-client or CPA-client relationship is created.
- I do not decide which business structure, name, license or tax treatment is right for you. Those decisions are yours, and I recommend asking an attorney or CPA about them.
- I do not prepare income tax returns, and I do not represent you before the IRS, the Illinois Department of Revenue or any other agency.
- I do not hold, receive or send your tax payments or government fees.
3. Fees and payment
- My service fee for each package is shown on the package page and charged at booking through Cal.com and Stripe. Prices are in US dollars.
- Government and agency fees are separate and are not marked up. Examples: Illinois LLC filing, assumed name filing, Chicago license fees and any agency card processing fee. You pay these directly to the agency, or as I direct you in writing at the time.
- Agency fees are set by the agency and can change. Agencies generally do not refund them.
- Newspaper publication charges, notary fees and similar third-party costs are your responsibility.
4. Cancellations and refunds
- If you cancel at least 48 hours before your scheduled kickoff call, you receive a full refund of my service fee. You may also reschedule once at no charge.
- If you cancel later than that, or after I have started work, my service fee is not refundable.
- If I cannot provide the booked service, I will refund my service fee for the part I did not perform.
5. What I need from you
- Accurate and complete information, and prompt answers to my questions. I rely on what you give me.
- You are responsible for the content of every form filed in your name, including checking it before it is submitted, and for any signatures the agency requires.
- Never send me passwords, Social Security numbers, bank account or card numbers. Where an agency needs those, you enter them yourself on the agency's site. I may guide you by screen share, and you stay in control of your accounts.
- You are responsible for all deadlines after setup, including sales tax returns, annual reports and license renewals, unless you separately buy a monthly check-in plan that says otherwise.
6. No guarantees
Agencies make the final decisions. I cannot guarantee that a filing, registration, name, license or zoning review will be approved, or how long it will take. Rules, fees and forms change. Information on this site was checked on the dates shown and may be out of date, so confirm with the agency.
7. Limits on responsibility
- Your decisions and information. I provide clerical and administrative help only. I am not responsible for the results of decisions you make, such as your business structure, name, license type or tax treatment, or for errors that come from information you gave me or from information you approved before it was filed.
- Agency actions and costs. I am not responsible for an agency's decision, delay, rejection, fee, penalty or interest, including any that result from a late filing, late payment or missed deadline after my work is complete.
- Cap. To the extent the law allows, if I am found responsible for a loss connected to my services, my total liability is limited to the service fee you paid me for the service that caused the loss. It does not include government or agency fees.
- No indirect losses. To the extent the law allows, I am not liable for lost profits, lost sales, lost business opportunity or any indirect, incidental or consequential damages, even if I was told they were possible.
- What this does not limit. Nothing in these terms limits liability that the law does not allow to be limited, such as liability for fraud or willful misconduct. Some of these limits may not apply to you under Illinois law.
- What counts as a problem. A problem is (a) a mistake I made in a form or filing, such as a typo or a wrong entry when copying information you gave me, (b) a filing or submission I agreed to make and did not make, or (c) a deadline I agreed to meet for my part of the work and missed. These are not problems: an agency rejecting or delaying a filing because of information you gave me or a choice you made; agency fees, penalties or interest; a change in a law, form or fee after the work was done; or disagreeing with an agency's decision.
- Time to raise a problem. Please tell me in writing (email is fine) within 90 days of the work being completed, and describe what happened. If it is a problem as defined above, I will fix it at no extra charge, or refund the part of my service fee for the affected work, whichever you prefer. This is separate from the cap above.
8. Your information
How I collect, use, keep and delete your information is explained in the Privacy Policy, which is part of these terms. In short: I use it only to do the work you hired me for and to follow up with you, I do not sell it, and you can ask me to delete it. Some information you give me for a filing may become public record once the agency files it, for example a registered agent address or an assumed name filing.
9. Ending the work
You can stop at any time by telling me in writing. Fees for work already done are not refunded, except as stated above. I may end the work if you give me false information, ask me to do something unlawful, or stop responding for more than 30 days.
10. General
- These terms are governed by Illinois law. Disputes will be handled in the state or federal courts located in Cook County, Illinois.
- If part of these terms cannot be enforced, the rest stays in effect.
- These terms, with the package page you booked, are the whole agreement. I may update them for future bookings. The version in effect when you booked applies to that booking.
