Illinois LLC annual report: cost, deadline and what happens if you miss it
Forming the LLC is not the end of the paperwork. Every year the state expects a short report to keep it in good standing.

The basics
- The annual report fee is $75. Illinois charges no separate franchise tax for LLCs.
- It is due before the first day of your anniversary month, the month you originally formed the LLC.
- You file it with the Illinois Secretary of State at ilsos.gov.
If you are late
- A $100 late penalty applies after the first day of the second month following your anniversary month, which is about 60 days late. A late LLC pays $175 in total for that report.
- The state sends a notice of delinquency. If the problem is not fixed within 120 days of that notice, the LLC can be administratively dissolved.
- A lapsed registered agent is a separate reason the state can dissolve an LLC.
Dissolved does not mean the debts disappear. It means the LLC is no longer in good standing, which can affect banking, contracts and licenses (see how to get a certificate of good standing).
How to fix it
- Look up the LLC on the Secretary of State's business search and see whether it shows active or dissolved.
- If it is active, file the overdue report and pay $75, plus the $100 penalty if it applies.
- If it is dissolved, file the reinstatement form (LLC-35.40) and pay the reinstatement fee, which one source lists at $200, plus every missed annual report and penalty. Make sure a registered agent is on file. Confirm the current amounts at ilsos.gov before you pay.
As an example from that source, one missed year would run about $375 and two missed years about $550.
Habits
- Put the due date on your calendar the day you form the LLC.
- Keep your registered agent current.
- Use the Secretary of State's own site. Look-alike sites charge extra for the same filing.
